Expected Areas of Competence

The Business Development/Research Enabling Transactions candidate will possess strong scientific and business acumen with experience in the life sciences and biopharmaceutical industry. An understanding of the deal making process in the industry is required as the candidate will lead transaction related activities for partnering/licensing of research enabling technologies, platforms, research tools, and other related opportunities in support of discovery of new therapeutic agents. The candidate is required to have strong interpersonal skills and work with multiple internal stakeholders to facilitate transactions required to advance BMS research and development pipeline. Furthermore, the candidate will provide transaction support in running business and commercial analyses and leadership in negotiation and contracting of licensing, acquisition of private companies, and other collaboration opportunities for research enabling technologies/platforms in support of BMS strategy and objectives. In addition, the candidate will develop and deliver scientific, clinical, technical and commercial assessments and evaluations of research enabling technologies, platforms, and research tools to the relevant BMS governance bodies.

Key activities

Demonstrate leadership, scientific, and business acumen while collaborating closely with internal S&E, Enterprise Strategy, R&D, BD Operations, Finance, and Commercial stakeholders and potential external partners.

Provide insights to the scientific requirements for the transaction process and will work in close collaboration with internal BMS stakeholders.

Facilitate formulation of Research Enabling Technology / Platform strategy while driving the execution of external business development elements.

Perform proactive external outreach in research enabling technologies, platforms, and tools to identify and initially qualify partnering or acquisition opportunities fitting BMS BD priorities and deliver business assessments and recommendations of external opportunities, including deal proposals, valuation, deal status, and key issues of the transaction, to BMS governance bodies for endorsement.

Ability to multi-task in balancing large book of work while ensuring consistent attention and prioritization of most critical and visible projects.

Efficiently lead cross-functional team meetings and communicate updates to leadership.

Recommend/develop proposed deal structure and terms for transaction with low level of complexity, utilizing an in depth knowledge industry deal making trends.

Facilitate negotiating, contracting, and executing complex deals (e.g., CDAs, MTAs, term sheets and agreements for research collaborations, license agreements, and other strategic alliances).

Lead or assist in negotiating partnerships and communicate key deal issues, risks, and updates to leadership and senior internal stakeholders, including collaborating with Transaction Legal in drafting and revision of term sheet and contracts.

Responsible for coordinating team meetings, preparing agendas, and minutes for various BD related teams as needed.

Lead participation in BD external partnering events (JPM, BIO, BIO EU, BMS Partnering Days etc.) and technical / scientific meetings, including preparing materials such as presentations, FAQ and related documents.

Stay current and inform BMS stakeholders of competitive intelligence related to deal making within the pharmaceutical and biotechnology industry.

Represent BMS to senior external stakeholders and collaborate with alliance management in managing and building relationships with key research enabling technologies and platforms strategic partners.

Present to senior internal and external stakeholders.

Manage and coach direct reports as applicable.

Experience Desired

MD, PhD, PharmD, MS, or other advanced degree in the biomedical field required.

Minimum 10 years of experience within the biopharmaceutical industry or related biotech/healthcare practice (e.g., consulting, investment banking, venture capital) and minimum of 3 years of relevant S&E and transactions experience in leading at least a few transactions of research enabling technologies, platforms, or tools.

Ability to analyze and understand sales forecasts, P&Ls, risk analyses, and company valuations; strong understanding of discounted cash flow, net present value, internal rates of return and risk analysis techniques. Able to integrate scientific knowledge into business model.

A proven record of leading discovery, development, or business development projects.

Proven ability to manage multiple projects efficiently with a high degree of independence.

Prior Pharma and Biotech experience (preferably in commercial and business functions).

Competent in Pharmaceutical discovery and development evaluation process and familiarity with diverse research/discovery technologies.

Scientific background with ability to assess research enabling platforms and collaboration opportunities with relevant internal BMS stakeholders

Strong working knowledge of pharmaceutical industry issues, trends, and their business impact.

Subject matter expert in the licensing/business development landscape. Good understanding of the drug development, approval, and commercialization process.

Strong analytical, communication, and leadership skills.

Able to communicate effectively with senior management internally and externally.

Ability to develop deal structures and working knowledge of industry deal trends.

Competence in taking leadership role on elements of major deals and provide support to an Executive Director on all aspects of major deals.

Competence in reviewing and editing contracts and providing direction to Legal in term sheets and contracts.

Ability to influence analysis undertaken by other functions.

Demonstrated strong negotiating skills. Ability to conduct and conclude negotiations on minor deals with supervision.

Consistently delivers on commitments in a timely manner.

Work well with and exert influence on multi-disciplinary teams. Facilitates candid dialogue and cross-functional collaboration.
